These Terms of Service govern access to and use of AvidityLegalAI.com and the purchase and use of digital products offered by Avidity Consulting LLC, doing business as Avidity Legal AI ("Avidity," "Avidity Legal AI," "we," "us," or "our").

By accessing this website, creating an account, purchasing a product, downloading materials, or using any Avidity Legal AI product or service, you agree to these Terms of Service.

If you do not agree to these Terms, do not purchase, access, download, or use our products.

1. Avidity Legal AI Is Not a Law Firm

Avidity Consulting LLC and Avidity Legal AI are not law firms and do not provide legal representation or legal advice.

Nothing contained on this website or within any Avidity product creates an attorney-client relationship between Avidity and any customer, user, client, law firm, attorney, or third party.

Our products are designed to provide technology, education, operational resources, AI-related tools, templates, workflows, training, and business resources.

2. Professional Responsibility

Many Avidity Legal AI products are designed for attorneys, law firms, and legal professionals.

Purchasers remain solely responsible for exercising independent professional judgment.

The use of Avidity products does not replace an attorney's obligation to review their work, supervise staff, protect client confidentiality, comply with court rules, comply with applicable laws, or satisfy applicable rules of professional conduct.

Each attorney and law firm is responsible for determining whether the use of any AI system, automation, template, workflow, prompt, software, or other technology is appropriate for their practice and jurisdiction.

3. Artificial Intelligence Disclaimer

Some Avidity Legal AI products may incorporate, teach, demonstrate, or interact with artificial intelligence technologies.

Artificial intelligence systems may produce incomplete, inaccurate, outdated, misleading, or incorrect information.

All AI-generated content should be independently reviewed before being relied upon, submitted to a court, provided to a client, incorporated into legal work, or otherwise used professionally.

Avidity does not guarantee the accuracy, completeness, reliability, or suitability of any AI-generated output.

Human review remains required.

4. Digital Products

Products offered through Avidity Legal AI may include training programs, courses, templates, prompts, SOPs, workflows, automation resources, checklists, guides, recorded materials, downloadable files, AI-related resources, and other digital content.

Digital products are delivered electronically.

Product descriptions identify the general content and intended purpose of each product. Customers are responsible for reviewing the product description before completing a purchase.

5. License to Use Purchased Products

Unless otherwise expressly stated in writing, purchasing an Avidity Legal AI digital product grants the purchaser a limited, non-exclusive, non-transferable license to use the product for the purchaser's own internal business or professional purposes.

Ownership of the product and all associated intellectual property remains with Avidity Consulting LLC or the applicable rights holder.

Purchasing a digital product does not transfer copyright, trademark rights, ownership, or other intellectual property rights to the purchaser.

6. Firm and Team Use

Unless a product specifically includes a firm, team, multi-user, or enterprise license, the purchaser may not provide product access to individuals who have not been authorized under the applicable license.

Products may not be distributed throughout a law firm, company, organization, affiliate, or outside business unless the applicable product license permits such use.

Where a firm or team license is purchased, access is limited to the licensed organization and its authorized personnel.

7. Prohibited Uses

Avidity Legal AI products may not be:

  • Resold, sublicensed, rented, or commercially redistributed.
  • Uploaded to public websites, shared drives, databases, repositories, course platforms, or other systems for access by unauthorized users.
  • Copied or reproduced for sale or distribution to third parties.
  • Used to create substantially similar competing products for resale.
  • Shared with individuals or organizations that have not purchased or otherwise received authorized access.
  • Used in violation of applicable law, professional conduct rules, privacy obligations, confidentiality requirements, or intellectual property rights.

Unauthorized distribution may result in immediate termination of access and may subject the user to legal remedies available to Avidity.

8. Intellectual Property

All content made available by Avidity Legal AI, including but not limited to text, graphics, branding, designs, training materials, templates, prompts, workflows, systems, videos, course materials, downloadable files, methodologies, and other content, is owned by or licensed to Avidity Consulting LLC unless otherwise stated.

Nothing in these Terms grants permission to reproduce, distribute, sell, publish, license, or commercially exploit Avidity intellectual property except as expressly permitted by the applicable product license.

9. Customer Content and Confidential Information

Customers are responsible for determining what information they enter into any AI system, software, automation, platform, or third-party service.

Customers should not upload confidential, privileged, personally identifiable, protected, or sensitive information into an AI or third-party system unless they have independently determined that such use is appropriate and permitted.

Avidity is not responsible for a customer's improper disclosure of client information or other confidential information to a third-party platform.

10. Third-Party Platforms

Avidity products may reference, integrate with, or provide instructions concerning third-party products and services, including AI platforms, CRM systems, automation providers, software applications, payment processors, and other technology providers.

Avidity does not control these third parties.

Third-party services may change their pricing, functionality, policies, availability, terms, or technical capabilities at any time.

Avidity is not responsible for interruptions, changes, errors, data loss, security incidents, policy changes, or other issues caused by third-party platforms.

Use of third-party services is subject to the terms and policies of those providers.

11. Payments

Prices are displayed at the time of purchase unless otherwise stated.

Customers agree to provide accurate billing and payment information and authorize the applicable payment processor to charge the amount shown at checkout.

Applicable taxes may be added when required.

12. Refunds

Purchases are subject to the Avidity Legal AI Return and Refund Policy, which is incorporated into these Terms by reference.

Because products sold through the Avidity Legal AI store are digital products, sales are generally final once access or delivery has been provided, subject to applicable law and the terms of the Return and Refund Policy.

13. No Guarantee of Results

Avidity does not guarantee that use of any product will result in increased revenue, reduced expenses, greater efficiency, additional clients, successful automation, improved case outcomes, regulatory compliance, or any other specific result.

Examples, demonstrations, case studies, estimates, testimonials, and educational materials are provided for informational purposes and do not constitute guarantees.

Individual results will vary based on numerous factors outside Avidity's control.

14. No Warranty

To the fullest extent permitted by applicable law, Avidity products are provided on an "as is" and "as available" basis.

Avidity makes no warranty that any product will be error-free, uninterrupted, compatible with every system, appropriate for every jurisdiction, or suitable for every professional practice.

Customers are responsible for independently evaluating products before relying upon them.

15. Limitation of Liability

To the fullest extent permitted by applicable law, Avidity Consulting LLC, Avidity Legal AI, and their owners, officers, employees, contractors, and affiliates will not be liable for indirect, incidental, consequential, special, exemplary, or punitive damages arising from the purchase, access, inability to access, or use of any Avidity product.

This includes, without limitation, loss of revenue, loss of profits, loss of data, loss of clients, business interruption, professional claims, missed deadlines, adverse legal outcomes, or losses resulting from reliance on AI-generated content.

To the fullest extent permitted by law, Avidity's aggregate liability arising from a particular purchase will not exceed the amount actually paid to Avidity for the product giving rise to the claim.

16. Customer Responsibility

Customers assume responsibility for how they implement and use Avidity products.

Purchasers are responsible for independently reviewing and testing workflows, automations, prompts, templates, systems, and other materials before using them in a live professional environment.

Avidity is not responsible for modifications made by customers or third parties after delivery.

17. Account Security

Customers are responsible for maintaining the confidentiality of their account credentials and for all activity conducted through their account.

Login credentials may not be shared with unauthorized users.

Avidity may suspend or terminate access where unauthorized sharing, redistribution, fraud, abuse, or violation of these Terms is reasonably suspected.

18. Changes to Products

Technology, artificial intelligence platforms, software, professional standards, and third-party systems change frequently.

Avidity may update, modify, replace, discontinue, or revise products when appropriate.

Purchase of a product does not guarantee perpetual updates, future versions, or ongoing support unless specifically included in the product description.

19. Changes to These Terms

Avidity may update these Terms of Service from time to time.

The version posted on AvidityLegalAI.com will govern future use of the website and future purchases after the updated Terms become effective.

20. Severability

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue in full force to the extent permitted by law.

21. Governing Law

These Terms will be governed by applicable United States law and the laws applicable to Avidity Consulting LLC, without regard to conflict-of-law principles, except where another law must apply as a matter of law.

22. Entire Agreement

These Terms of Service, together with the applicable product description, Return and Refund Policy, Privacy Policy, and any additional written terms presented at purchase, constitute the agreement governing the purchase and use of Avidity Legal AI digital products.

One clause I would definitely keep is the license language. You're selling valuable intellectual property, not just downloadable files. An attorney buying one course or system should not automatically have the right to send it to 30 attorneys, upload it into their firm's shared drive, or turn your material into something they resell.
